Acquisition and disposition of assets BCH 192/2555 22 October 2012 To :The Managing Director The Stock Exchange of Thailand SubJect : Investment in new hospital Bangkok Chain Hospital Plc (BCH) would like to inform the investment in new hospital under brand "World Medical Center" ('WMC'), which has an investment of approximately THB 2,200 million (excluding land cost at THB 200 million). According to the Notification of the Captial market Supervisory Board No. TorChor 20/2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets and the Notification of the stock Exchange of Thailand dated 31 August 2008 and Re: Disclosure of Information Concerning the Acquisition and Disposition of Assets of Listed Companies B.E2547 dated 29 October 2004, the Transactions classified as a class 2 transaction. Therefore, the Company sets out the details of the Transaction as prescribed in the Acquisition Rule. All documents concerned are attached. The date on which the transaction occurs: The Company expects to open the new hospital during Q4/2012- Q1/2013. 2. Parties Involved : The company has hired contractors and purchased medical equipments form supplies whose not classified as connected persons according to the Notification of the Capital Market Supervisory Board No. Tor.Chor.21/2551 Re: Rules on Connected Transactions dated 31 August 2008 and the Notification of the Board of Governors of the stock Exchange of Thailand Re: Disclosure of information and other acts of listed companies concerning the connected transaction B.E.2546 (2003) dated November 19, 2003 3. General Characteristics of the Transaction The transaction is considered as a class 2, transaction according to Notification of the Capital Market Supervisory Board No. Tor Chor 20/2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets and the Notification of the SET dated August 31, 2008 which has a transaction size of 34.73% under the Value of Consideration paid criteria. According to BCH Consolidated financial statements as of June 30,2012 Method of calculation =(Value of consideration paid / Total Assets) X 100 =(THB 2,200 Million / THB 6,334 Million ) X 100 = 34.73% With the transaction size of 34.73% the Company is required to disclose to the SET and to distribute the Information to shareholders within 21 days after disclosure to the SET. 4. Details of assets purchased The Company has invested in the new hospital, under brand "World Medical Center" ('WMC') sizing of 324 beds on Chaengwattana Road, Pak Kret, Nonthaburi which has an investment of approximately THB 2,200 million (excluding land cost at THB 200 million). 5. Total value of consideration Approximately of THB 2,200 million for construction and medical equipments, paid to contractors and suppliers according to completion of construction work and deliver of equipments. 6. Value of assets purchased Equal to value in an article 5. 7. Basis used to determine value of consideration Based on value of construction contracts and medical equipment contracts. 8. Benefits expected to be generated The Company expects that "World Medical Center" ('WMC') will services to Higher-end market and will increase revenue of the Company in the future. 9. Sources of fund From internal cashflow and loans from financial institution. 10. Opinion of the Board of Directors The Board of Directors approved the Company to proceed with the transactions. Due to the Company expects that the new hospital "World Medical Center" ('WMC') will services to Higher-end market and will increase revenue of the Company in the future. 11.
